2.1 Corporate Governance

This more so after we witnessed the collapse of a number of leading companies, such as energy giant Enron, which ultimately also led to the demise of Andersen, ending the domination of top 5 accountancy firms which now became commonly known as the Big Four.

This led to the increased importance now being given to corporate governance in view nevertheless of the basic paradigm that directors manage the company whilst shareholders own it. Corporate governance is the system by which companies are directed and controlled (UK’s Cadbury’s Report) and can therefore be used to bring under one head the different rules which determine how power within a company is exercised. It therefore deals with the issue of accountability and focuses on the relationship among the participants or stakeholders in the company.
